General Terms and Conditions of Sale (GTCS)
Article 1: Entire Agreement
These general terms and conditions (hereinafter the "GTCS"), supplemented by:
- The order form or subscription contract (hereinafter the "Order Form"),
- The applicable pricing and service level conditions (hereinafter the "Rate Sheet").
Form the entire agreement between WeLink (hereinafter the "Operator") and the business customer (hereinafter the "Customer").
Article 2: Scope of Services
These GTCS set forth the reciprocal rights and obligations of the Parties regarding the provision by WeLink of:
- High-speed cellular Internet access services across 4G/5G networks,
- IoT/M2M (Machine-to-Machine) telemetry connectivity,
- Business fixed and mobile telecom solutions,
- Hardware provision and dry hire (industrial cellular routers, bonded modems, SIM cards).
Article 3: Service Specifications
- Internet Connectivity: via pre-configured routers fitted with multi-carrier 4G/5G business SIM cards.
- IoT/M2M: secure private APN connectivity for smart terminals, kiosks, and sensors.
- Voice & Telecom: VoIP trunking, virtual switchboards, and number porting.
- Hardware Provisioning: loan, dry hire, or sale of industrial routers, external antennas, and SIMs.
Article 4: Territorial Coverage
Services are available within the geographical coverage boundaries of partner carrier networks across mainland France and overseas departments. European and international access is provided subject to specific roaming entitlements agreed upon order confirmation.
Article 5: Subscription & Commissioning
Orders are formalized upon signature of an Order Form. Standard deployment is executed within 15 calendar days (or within 24h to 48h express delivery for temporary and event-specific packages).
Article 6: Term & Termination
The contract takes effect on the commissioning date:
- Commitment-free rentals: standard one-month notice period.
- Fixed-term commitments: early termination incurs payment of outstanding contractual monthly installments.
Article 7: Pricing & Payment Terms
Applicable fees are detailed on the validated quote or Rate Sheet. Any adjustments will be notified at least 30 days prior to their effective date.
Article 8: Hardware Custody
All hardware supplied by WeLink remains the exclusive property of WeLink, unless an outright purchase is explicitly contracted. The Customer commits to returning all equipment in proper working order upon contract conclusion.
Article 9: Limitation of Liability
The liability of WeLink is strictly limited to proven direct material damages and shall not exceed the aggregate sum paid by the Customer over the preceding six months or the total order value of the specific temporary assignment.
Article 10: Intellectual Property
WeLink retains full ownership of all intellectual property, trademarks, configuration scripts, and dashboard interfaces made available to the Customer.
Article 11: Privacy & Data Protection

Article 12: Applicable Law & Jurisdiction
This agreement is governed by the laws of France. Any disputes arising in connection with the validity, interpretation, or execution thereof shall be subject to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris).
